Pre-ordered directly from Microsoft to upgrade my T60, but I bought a T400 in the mean time, and it came with Win 7 Pro installed.
This copy is opened, but has never been activated.
Includes DVDs for both 32-bit and 64-bit upgrades. Will upgrade Vista in place. Upgrades XP with a fresh install.

Will this work with the OEM version of Win XP Pro that is installed in a X61 ?

I would think so. As I wrote, I haven't used this one, but I did buy Win7 Home Premium for my wife's T60.
I did a completely clean install, as I had Linux on the machine. It seemed to work, but wouldn't activate until I called Microsoft support. They helped me in just a couple of minutes and said I should have done an upgrade install.
That being said, it doesn't really do an upgrade. There's a big note in the box about making sure you do a backup. It moves all the XP stuff to another folder and does a clean install. You should be able to access all your documents, but you'll have to reinstall all your applications, as the registry is not migrated. I'm not sure if your applications are moved or deleted.
