The 2x 2GB will work just fine.
But as the Intel PM965 chipset limitation, the highest speed is only 667MHz.

Yes, I know, but is it possible to use 800 on mainboard with only 667 support? Is it compatible with slower memory?
Will memory 800Mhz works on 667 ?

Yes it'll work, but the 800 mHz memory will only run as fast as the rest of the system bus.

One more thing (you may already be aware of) is that even with 2 x 2GB installed you will only see/be able to use approximately 3 GB in a 32 bit OS. For Win XP, it is possible to use a RAM disk to use the additional 1 GB (don't have the link right now, but search around here for a discussion of this).
