T60 XP Restarting instant after shutdown. I can't resolve this problem! All is updated...

Is it problem with my motherboard?

Welcome to the forum. For the ethernet adapter, turn off "wake on LAN" in its power management tab in device manager. For the wireless adapter, turn off "wake on WLAN" in its power management tab in device manager. In BIOS, go to "Config", disable "wake on LAN". If you use Access Connections, disable "wake on LAN" and, if present, "wake on WLAN" there too.

Have you unchecked "Automatically restart" ?

In Windows XP :
Control Panel --> System --> Advanced --> Startup and Recovery --> click Settings button --> System failure --> uncheck "Automatically restart"

If your laptop was getting a BSOD during shutdown while the above item was checked, it would "Automatically restart".

With it unchecked, it will halt on the BSOD and give you the details that you need to debug the problem.

Are there dumps in the C:\Windows\Minidump folder ?
