x301 limiting point; CPU or RAM?

I recently bought an X301 with a 1.4G CPU, SSD & 4G of RAM. I am planning to change the os to win 7-64 but am I correct in assuming that the cpu is the rate limiting step and there is no sense to increase the RAM beyond the 4G that I already have?

That depends on what you do with the machine. Some tasks are CPU-intensive, others are RAM-intensive.

the X301 will accept up to 8GB DDR3 and will run it at 800MHz.
with that said, there's no reason to install more than 4GB unless you're running out of memory in your applications.

ddr3 ram is currently at a sweet spot, 8GB is selling for ~$80. even if you don't currently need the extra ram now, i'd strongly think about getting it anyway.
you already have the 64bit OS and more and more apps (office 2010, etc )are upping their memory usage.
