A20m Win2k trouble on shutdown/suspend/restart

OK, I've tried everything I know and can't make any improvement... :x

I have an A20m with Win2k Pro. Sometime in the past year something I did broke shutdown/suspend/restart. I didn't notice it at first, and by the time I did, I couldn't figure out what had changed to undo it. Then life happened and I got busy.

Today I had time and tried working on it. I updated the BIOS (from 1.12 to 1.13, the latest). I updated the Power Manangement drivers (from 1.25 to 1.26, the latest). And I've gone through every power setting I can find... But it still doesn't work...

If trying to Suspend (closing the lid, Fn-F4, or invoke Windows Standby):
- briefly get the "Preparing to standby" message on the screen
- screen goes dark
- disk stops
But....
- power on indicator never goes out
- standby indicator never comes on
- opening the lid, or pressing Fn or other things to normally bring it out of standby don't; it appears to be hund and must be rebooted

If trying to Shutdown:
- all the regular Windows shutdown process/messages
- screen goes dark
- disk stops
But...
- power on indicator never goes out

If trying to Restart, it works just like shutdown above:
- all appears normal during the shutdown
- screen goes dark
- power indicator never goes out

But I can make part of it work. If I click on the "Unplug or Eject Hardware" in the system tray, and tell it to stop my CD drive, then it will:
- say preparing to standby
- screen goes dark
- disk stops
- power on indicator goes out
- standby indicator comes on
- Closing and opening the cover or pressing Fn awakens it normally.

Does anyone have any other thoughts on where I might look? Or other drivers I should look at updating? :?:

Maybe its mainboard is bad~~~~~
