Upgrade motherboard and reinstall windows

I'd like to upgrade my T40 mobo to a T42p. When I reinstall Windows, will the COA on the underside of my thinkpad still work ? My understanding is that the licence relates to the actual hardware, so changing the mobo will require a new COA ?
Correct me if I'm wrong. Thanks.
