Yes, it will work in a T40. To install it, you need to do the following:

Update your BIOS and Embedded controller to the latest versions, to ensure compatibility with the processor (just a precaution, may not be necessary).

Remove the keyboard, remove the palmrest (see the link below for details).
Remove the 3 screws hodling the heatsink down.
Wiggle the heatsink out by lifting it at a 30-degree angle (this will get it out from the top bezel that surrounds the keyboard, without actually having to remove the bezel).

The Processor will now be visible. Turn the screw on the socket 180 degrees to release the processor. Lift the processor up gently out of the socket and replace with the new one.

You will want to completely remove the IBM thermal pad and clean the heatsink with a mild organic solvent (ethanol, isopropyl alcohol, etc.).

Apply a small ammount of thermal grease (my personal favorite is Arctic Silver 5) to the shiny core on your new processor.

Reverse the above steps to install the heatsink, palmrest, and keyboard.

Turn on your T40 and enjoy the speed increase.

The Pentium M processors have 479 pins and will not fit into a socket 478 MB. Asus does make a daughter card that is compatible with specific Asus mother boards. Here are a couple of links Asus Product Description, ZipZoomFly CT-479, Review of the ASUS CT-479.

I also have thought about building a Silent media PC using mobile cpu's. If you end up going this rout please post your results in the Off Topic section of the forum. I would be interested in your results.

This is NOT EXACTLY true. These are 478-pin, not 479-pin, but the pin-out is different from what is used for the P4. There ARE some 479-pin Pentium M processors, but for whatever reason, they are not as commonly used as the 478-pin Pentium M variety.
