Doesn't strike me as a practical or fiscally sound upgrade for a G40, you're probably in the neighborhood of $500 or more IF you find one. You can find used 2.6GHz G40s for less than that on eBay.

Save your money, sell or part out your G40, and take the proceeds and buy a T41/42.

A 1.8GHz Pentium M will run just was fast as a 3.0GHz Pentium 4 and consume 1/3 the power.

Plus, the T-series would a nice upgrade.

Overall, you would spend less for that upgrade than the CPU you are looking for, and end up with a better laptop (not to dis the G40).
