Upgrading?

If I purchase the upgrade CD for Windows Vista, will I be able to use it to reinstall the operating system after a reformat or will I have to install XP then upgrade to Vista?

If anyone has experience with upgrading to Windows XP, please share your knowledge.

My experience with windows upgrades are that they ask you for proof of a previous windows version during the new install, so you'd have to put in an old windows XP disc or something like that.
