Installing Modem crashes Windows

Hi,
I just transferred my Win2K to my new T42p and when installing the Modem, the system crashes by failure message on next startup (file missing in e:\winnt\system).
While I'm currently not using the modem at all, I'm curious if that might be a problem of either the driver, the system or my TP.

i would test the modem with the original preload..
so as to rule out a hardware problem..

then revisit loading the driver..
