XP pro won't take my cd key!

I purchased a r31 a few months back, and now the mobo has crapped out on me. It came with a XP Pro COA and since the r31 was no good I want to install it on my 570e, but don't have the original xp disk. I tried using my roommates copy of XP Pro and putting my key from the COA in, and it said it was invalid.
On the COA it says Windows XP Professional 1-2CPU IBM Corporation if that helps anyone to figure out what's wrong.
Where can I get a copy of XP that will accept my key?

You can't use an OEM license for XP (or W2K) to install a retail version of the OS.
