I just need a confirmation about mobo before I shop from eBay..
Original FRU from my mobo is 42R9964, model number is 9450-HAG
and I need to replace it with a new one.
My question is can I use mobo with FRU 41W1292 ?!

You can't...but this is what I can tell you:
The board you're looking at was the original one in my Z61m which was spec'd almost the same as yours, but I had WWAN as well...

Original description: T2300E(1.66GHz), 1GB RAM, 100GB 5400rpm HD, 15.4in 1680x1050 LCD, 128MB ATI Radeon X1400, CDRW/DVDRW, Intel 802.11abg wireless, WWAN, Bluetooth/Modem, 1Gb Ether, UltraNav, Sec Chip, IEEE 1394, FPR, Camera, 6c Li-Ion batt, WinXP Pro
The other board that HMM had offered was 42W2168. I ended up replacing mine with 44C3878 and it worked perfectly.
Make sure that the small sub-card that controls the camera is present on the "new" board, though.

It seems that even 41W1292 mobo won't work on my laptop, I got 4 beeps and blank screen on startup,ajkula66 wrote:I believe so.

that's system board according to manual... So what can I else do now?
It's really hard to find mobo with original fru 42R9964, but I think that's the only solution left?!

I don't see why any of the original parts (presuming that they were working properly) would cause the board to beep.
The only thing that is different is a CPU, but you wouldn't get beeps from it, it would be silent and dead...so I'm sticking with the presumption of a bad board.
