What are the differences?

The port replicator is smaller, but they both have the same connectors at the backside

Here, hope it helps.
Port Replicator: A device containing common PC ports, such as serial and parallel ports, that plugs into a notebook computer. The purpose of the device is to allow you to easily attach a portable computer to standard, non-portable devices such as a printer and monitor. For example, if you use a computer both at home and at work, you could set up both work areas with a port replicator. Then, you just plug in your notebook computer to the port replicator at either location and you're ready to work.

Most notebook computer manufacturers offer a port replicator as an additional option. A port replicator is similar to a docking station, but docking stations provide additional slots for adding expansion boards and storage devices.

With the man who takes me from my horse, and leads me to a bar."
The man who took her off her steed, and stood her to a beer,
Were a bleary-eyed Surveyor and a DRUNKEN ENGINEER.

Ok it is clear

So the dockingstation has PCMCIA ports and an Ultrabay.

Hmmz not necessary, so i will go for the port replicator.

That port replicator that you are looking at is not for a T40. You need a Port Replicator II. Search for part number 74P6733. I have one new in the box if you are interested PM me.

Harryc is right, the first pictures show a Port Replicator for the older thinkpads (t2x ). The last picture shows a Port Replicator II, which is for the t4x line.

You should consider buying a Mini-Dock instead, it has 4 USB Ports on the back and an own power supply. If you have several usb devices it is IMO the right thing to buy if you don't need the additional pcmcia slots and the ultrabay expansion which the "big" Dock II offers.

You'll find additional informations on the ibm/lenovo server: Port Replicator II , Mini-Dock and Dock II.
